The plain-English version

Roving Leads does honest work for fair prices. You own everything we build for you. There’s no lock-in – you can leave anytime. We don’t charge you for things you don’t need. If something goes wrong, we talk about it like adults.

The sections below add legal specifics to those promises. If anything here feels unclear or inconsistent with what we discussed, ask before work begins so we can clarify it in writing.

Who this applies to

These terms apply when you (“Client,” “you”) engage Mia Gibson LLC, doing business as Roving Leads (“we,” “us,” “Roving Leads”) for any consulting, coaching, training, assessment, or technical service listed on our website or discussed in a signed proposal.

By booking a call, submitting a form, or signing a proposal, you agree to these terms. If you’re engaging us on behalf of a business, you confirm you have authority to bind that business.

What we provide

• Marketing, growth, and revenue-support consulting

Specific deliverables, timelines, and scope are defined in the proposal or statement of work you agree to before each engagement begins. We don’t start work without clear mutual agreement on what we’re doing.

You own everything

This is a core Roving Leads brand promise, not just a legal clause.

• Custom AI agents we build for you – yours. Full ownership, full access, full source code.
• WordPress sites we build or manage – yours. You get every login, every file, every credential.
• Documents, templates, SOPs we create for you – yours.
• Prompt libraries we develop for your team – yours.
• Training materials customized for your business – yours.

We retain the right to use general methodologies, frameworks, and knowledge gained in future work – but your specific business data, custom implementations, and deliverables belong to you from the moment they’re delivered.

If we ever part ways, you walk out with everything. No export fees. No “proprietary platform” you’re stuck on. No hostage situations.

Pricing and payment

Published pricing

Where our website lists specific prices (e.g., coaching sessions, assessments), those prices are honored for proposals sent within 30 days of viewing. We reserve the right to update published pricing, but active agreements hold their original rate.

Custom quotes

For variable-scope work (consulting, custom AI systems, team training), we provide a written quote within 24 hours of our discovery call. Quotes are valid for 14 days.

Payment terms

• Fixed-scope projects: 50% upfront, 50% on delivery
• Monthly retainers: Billed at the start of each month
• Coaching sessions: Paid before or at time of booking

We accept credit card, ACH transfer, and invoicing for established clients.

No hidden fees

The price Roving Leads quotes is the price you pay. We don’t mark up third-party tools, hosting, or AI API costs. If a tool costs $40/month at retail, we tell you that – we don’t resell it to you for $200. That’s not a marketing angle. That’s how we actually operate.

Cancellation and refunds

Monthly services

Cancel anytime. No exit fees, no penalties, no “minimum term” buried in paragraph 47. Give us 14 days’ notice and you’re done at the end of the current billing cycle.

Fixed-scope projects

If you cancel mid-project, you pay for work completed to date. We’ll provide all deliverables and work-in-progress files – nothing gets held hostage.

Coaching sessions

Reschedule or cancel with 24 hours’ notice at no charge. No-shows or same-day cancellations forfeit the session fee.

Refunds

If we have not started work on a paid engagement, you may request a full refund. Once work has started, refunds are not automatic and are evaluated based on the scope, work completed, costs already incurred, and deliverables provided.

Completed digital deliverables, written assessments, strategy documents, coaching sessions, training sessions, setup work, custom code, and consulting time are generally non-refundable once delivered or substantially performed. If a deliverable does not match the agreed scope, tell us within 7 calendar days of delivery. Our first remedy is to correct, clarify, or revise the work in good faith. Any partial refund is discretionary and limited to the portion of the work that was not delivered as agreed.

Refunds are not available for a change of mind, lack of client follow-through, third-party platform outages, changes made by the client or another provider, results affected by market conditions, or outcomes we did not expressly guarantee in writing.

No lock-in

This deserves its own section because the Roving Leads approach is the opposite of how most agencies work.

• No long-term contracts required. We work month-to-month or project-to-project.
• No proprietary platforms. We build on tools you can manage yourself.
• Full credential handover. Every login, API key, and admin access is documented and yours.
• Documented processes. If you want to bring management in-house later, you’ll have the SOPs to do it.
• No switching costs. If another provider can serve you better, we’ll make the transition easy – not painful.

Roving Leads earns your continued business by delivering results. Not by making it expensive to leave.

AI tools and disclaimers

We use AI tools in our work. Transparency about that:

• AI assists in research, drafting, analysis, and code generation
• All AI-generated output is reviewed, verified, and refined by a human before delivery
• We never pass raw AI output as finished work without disclosure

AI is not professional advice

Our AI implementations, assessments, and recommendations are consulting guidance – not legal, financial, medical, or regulatory advice. Where your situation requires licensed professional input, we’ll tell you that directly rather than pretending AI can substitute for it.

Limitation of liability

To the maximum extent permitted by California law:

• Our total liability for any claim arising from our services is limited to the amount you paid us in the 12 months preceding the claim
• We are not liable for indirect, incidental, consequential, or punitive damages
• We are not liable for losses resulting from your use of AI tools, recommendations, or implementations beyond what we directly manage

We’re a small consultancy doing honest work. If something goes wrong, we take responsibility within reason – but we can’t be on the hook for unlimited downstream business consequences from a consulting engagement.

Disputes

If there’s a problem:

1. Talk to us first. Email help@rovingleads.com and we’ll work it out directly. Most disagreements come from miscommunication, not bad intent.
2. Mediation. If we can’t resolve it directly, we agree to attempt mediation with a neutral third party in Los Angeles County before any legal action.
3. Jurisdiction. These terms are governed by the laws of the State of California. Any legal action will be filed in Los Angeles County courts.

We prefer practical resolution over escalation. Nothing in this section prevents either party from seeking emergency legal relief when necessary.

Changes to these terms

We may update these terms. When we do:

• The “Last updated” date at the top changes
• Active clients get emailed about material changes
• Changes don’t retroactively apply to signed proposals or active engagements

Your continued engagement after changes are posted means you accept the updated terms. If you disagree with a change, let us know – we’ll honor your original terms through the end of your current engagement.
